Mergers and Acquisitions

Regarding M&A transactions, our consulting and assistance activities includes, acquisitions, divestitures, sales of companies and of holdings in companies, transfers of businesses or branches of business and corporate reorganisations, joint ventures, mergers and demergers. In these operations, we have represented both start-up companies and multinational corporations that are already well-established and active in the market.

Our activities in this field range from the preliminary activities to the completion of the transaction and include undertaking due diligence, the preparation and negotiation of all the main documentation and agreements, together with the usual ancillary agreements, such as loan agreements, guarantees, supply and service agreements etc.

We provide assistance to clients in relation to all aspects of the transaction and for its entire duration, including the preliminary activities of assessment and planning, as well as the completion of the transaction. Specifically, our firm handles both the due diligence process and the preparation and negotiation of all the main documentation and agreements,including related ancillary agreements, such as loan agreements, guarantees, supply and service agreements.

Given the complexity that merger or acquisition transactions can present, even during their implementation, significant importance is placed on knowledge and experience in relation to tax issues and other fields of activity, such as E.U. and Competition law, Commercial and Corporate law, Intellectual Property, Information Technology, and Banking and Financial law. This experience allows our firm to manage all aspects and issues related to M&A transactions.

We have recently assisted the setup of Joint Ventures in China, India and Brazil; in addition, the firm has a long standing experience in acquisition and takeovers of company, also by international groups from overseas.

Furthermore, through an active and long-established collaboration with lawyers specialized in labor law, we are able to offer the clients advice and assistance also with regard to the drafting of employment contracts and the resolution of disputes between employers and employees—issues that may arise in the context of mergers, acquisitions, and corporate restructuring.
